Dolfines finalizes the acquisition of Aegide International

(Boursier.com) — Dolphins announces the definitive acquisition of all the capital and voting rights of Aegide International SAS. Aegide International is an expert company dedicated to the safety of people in their workplace. It has a ‘trackrecord’ of nearly 30 years of top-of-the-range HSE (Health, Safety and Environment) services, constantly renewed, adapted and improved to offer its customers an ever-new vision of the safety culture.

Aegide International has more than 200 clients in various industrial sectors such as, in particular, Energy, Transport, Logistics and Agrifood. In 2022, it generated a turnover of 2.75 million euros, with average annual growth of 15% per year over the last three years, i.e. double the rate of market growth, with an Ebitda/ 9% turnover.

The contribution Auditor’s report retained a 100% valuation of the company of 1.9 ME. 70% of this amount is paid in cash from Dolfines cash, the remaining 30% being financed by the issue of new Dolfines shares.

Following this operation, Adrien Bourdon-Feniou holds 18% of the capital of Dolfines, thus aligning his interests with those of all of the company’s shareholders.

The new set offers high potential for value creation. Indeed, the acquisition of Aegide International by Dolfines opens up 3 main areas of future value creation:
– The complementarity of trades and services on the markets of major groups in all sectors wishing to constantly improve industrial safety, as well as geographical complementarity, which is essentially articulated around Europe, Africa and the Middle East, with a strong presence in Brazil;
– The diversification of Dolfines’ activities beyond the conventional and renewable energy sector, which nevertheless remains a key area for the company;
– The strengthening of Project management capacity, beyond the Inspection and Audit professions.
