(CercleFinance.com) – Goldman Sachs Bank Europe and Société Générale, acting on behalf of the French State, filed on October 4, 2022, with the Autorité des marchés financiers, a draft simplified tender offer targeting the securities of the public limited company EDF.
To date, the initiator holds, directly and in concert with EPIC Bpifrance, 3,252,572,223 shares representing 5,785,532,806 voting rights, i.e. 83.69% of the capital and 89.13% of the voting rights of the society.
The initiator also holds 87,831,655 bonds convertible into and/or exchangeable for new and/or existing shares maturing in 2024 (‘Océanes’ 2024), or 40.00% of the ‘Océanes’ 2024 in circulation.
The initiator irrevocably undertakes to acquire (i) at a unit price of €12.00 all of the 803,469,846 EDF shares existing or likely to be issued that it does not hold directly or indirectly, and (ii) at the unit price of €15.52 for the 131,747,484 existing 2024 ‘Océanes’ that it does not hold.
