EDF: the State has converted 40% of the OCEANES maturing in 2024

(Boursier.com) — The State has requested the conversion of 87,831,655 EDF OCEANE bonds (ISIN FR0013534518) into shares. They correspond to 40% of the OCEANE bonds maturing in 2024.

This conversion results in the issue of 113,215,003 new Shares, taking into account the share allocation ratio (Conversion/Exchange Ratio) to date of 1.2890 shares per OCEANE.

It results in a capital increase for a total nominal amount of 56,607,501.50 euros and a premium for the conversion of EDF OCEANE bonds into shares for an amount of 903,392,484.15 euros.

The share capital ofEDF will thus be increased from 1,943,859,339.50 euros to 2,000,466,841 euros, consisting of 4,000,933,682 shares with a nominal value of 0.50 euro each.

It allows a reduction of the bond debt for an amount of 959,999,989.15 euros. The capital increase strengthens EDF’s balance sheet structure and will, if necessary, make it possible to refinance part of the hybrid subordinated debt.
