Europlasma: fundraising of 1 million euros through issue of 200 Océane – 11/24/2023 at 6:35 p.m.

(AOF) – Europlasma, specialist in treatment and hazardous waste, material recovery and decarbonization, announces that it has drawn the tenth tranche of 200 Océane, without BSA attached, for a nominal amount of one million euros. The issuance of 200 Océanes carried out today could give rise to the creation of 136,986,301 new shares based on a theoretical conversion price of 0.0073 euros, i.e. 100% of the lowest average daily price weighted by volumes of the ordinary share over the 15 consecutive trading days immediately preceding that day’s drawing.

The participation of a shareholder holding 1% of the Company’s capital to date could thus amount to 0.69%.

The company recalls having announced by press release of March 23, 2023, the establishment of a bond loan with a maximum nominal amount of 15 million euros over 3 years, by issuing bond certificates giving access to bonds convertible or exchangeable into new and/or existing shares (the “Oceane”) with attached subscription warrants where applicable (the “BSA”) for the benefit of Environmental Performance Financing (“EPF”).

Rail investment plan

The French railway industry is in second place in Europe and third place worldwide. This industry displays a trade surplus, which generates more than 100,000 jobs in France. The announcement of the future plan for French rail transport provides in particular for the regeneration and modernization of the network, the average age of which is 30 years in our territory. This age is much higher than that of countries like Germany (17 years) and Switzerland (15 years). An annual investment increasing from 2.8 billion euros to nearly 4 billion euros should make it possible to maintain the entire network in good condition.
