Gascogne: the majority shareholder buys a block of 10% of the capital from EEM








(Boursier.com) — Gascony was informed, this Tuesday, by Attis 2, of the conclusion of a memorandum of understanding with a view to the off-market acquisition from the company Electricity and Water of Madagascar (EEM) of a block of 10.07% of the capital of Gascogne representing 216,642 bearer shares and 2,232,087 registered shares (Block).

Attis 2, whose shareholders are made up of Biolandes Technologies, the Crédit Agricole group, through entities managed by Idia Capital Investissement and Crédit Mutuel Equity SCR, holds 17,169,229 Gascogne shares representing 34,338,458 voting rights , or 70.60% of the capital and 77.52% of the voting rights. At the end of payment and delivery to take place within two working days following the acquisition of the Block and no later than December 20, Attis 2 will hold 19,617,958 Gascogne shares representing 80.67% of the capital and 86.90% of the rights. vote of Gascony.

This operation is part of Attis 2’s strategy to strengthen its level of participation in the capital of Gascogne. It is recalled that in the event of conversion of 4,821,137 ORAN 1 and 2 issued by Gascogne, the direct participation of the company Biolandes Technologies in the capital of Gascogne would be increased to 17.39% of the capital and 10.37% of the rights of vote of the latter and that the company Biolandes Technologies has undertaken not to initiate a public withdrawal offer within the twelve months following the reimbursement or conversion of Oran 1 and 2 into new Gascogne shares. In the event of conversion of ORAN 1 and 2, the stake of Attis 2 in Gascogne, after acquisition of the Bloc, would be reduced to 66.63% of the capital and 77.49% of the voting rights.

This investment of 9,794,916 euros, or 4 euros per share, is not subject to any conditions.
