(Boursier.com) — As part of the proposed acquisition of the Interface Tourism agencies in France, Spain, Italy and the Netherlands previously announced by Hopscotch in its press release dated July 28, 2023, the company announces the convening of an Extraordinary General Meeting, with the aim of asking shareholders to decide on the contribution in kind to Hopscotch Group of a portion of the capital of the Company International Tourism Communication Group (ITCG), bringing together agencies in France.
The final completion of the operation is set for the day of the Hopscotch Groupe Extraordinary General Meeting convened on January 31, 2024 at 10 a.m.
The remuneration for the acquisition of the company ITCG in France will mainly consist of HOPSCOTCH Groupe shares to be issued.
This issue of new Hopscotch Groupe shares will be carried out on the basis of an exchange value of Hopscotch Groupe shares according to an average VWAP over 40 trading days preceding December 21, 2033, i.e. 17.47445 euros per share. The number of shares thus issued as remuneration for a contribution in kind of 228,191 ITCG shares with a value of 4,128,858 euros, is set at 236,279 shares with a par value of 0.75 euros each, representing 8.54% of capital before increase. At the end of the operation, the number of shares making up the capital of Hopscotch Groupe will be 3,003,722 shares, for a share capital increased to 2,252,791.50 euros.
The firms FINEXSI and PKF ARSILON were appointed Contribution Commissioners for this operation by the Paris Commercial Court. The latter will issue a report on the value of the contributions and another on the remuneration of these contributions.
The EGM will be set for January 31, 2024 at 10 a.m. The draft resolutions will be published in the BALO on December 27, 2023 as part of the prior notice.
