Ipsos: Glass Lewis recommends voting against dissenting shareholder resolution


PARIS (Agefi-Dow Jones)–The survey research group Ipsos said in a letter to its shareholders on Monday that the shareholder advisory firm Glass Lewis had recommended voting against the appointment of Hubert Mathet as director, supporting thus the position of the company’s board of directors.

Several Ipsos shareholders, namely Amiral Gestion, LBO France Gestion, Financière Arbevel, Tocqueville Finance and La Banque Postale Asset Management, have requested the registration of a draft resolution, known as resolution A, to appoint Hubert Mathet as director of the company, during the general meeting of Ipsos on May 17.

Hubert Mathet is portfolio manager at Mathet et Cie and also vice-president of the French Society of Financial Analysts (Sfaf). These shareholders argue in particular that this appointment would strengthen the independence of the Board of Directors.

The Ipsos board of directors called for a vote against this resolution, criticizing an “ill-conceived and unnecessary attempt by a small minority of shareholders to nominate a candidate for the board of directors, without any prior dialogue, nor attempt to engage in our regular nomination process”.

Unlike Glass Lewis, ISS and Proxinvest have recommended voting in favor of the appointment of Hubert Mathet.
