New to the Board of Directors
In addition to the ratification of the appointment as Director of Ben Page, its Chief Executive Officer since November 15, 2021, and that of Pierre Barnabé, whose arrival was announced on January 14, 2022, Ipsos welcomes Ms. Virginie Calmels to its Board of Directors.
Virginie Calmels chairs CV Education, a higher education group for the professions of tomorrow in the field of creative industries and digital marketing which opened the first FUTURAe school in Boulogne-Billancourt in October 2020. In addition to her significant expertise in management finance, Ms. Virginie Calmels has extensive knowledge of the media and digital marketing sector, and therefore a particular sensitivity to Ipsos’ business. She has all the skills of an independent director of listed companies, being or having been an independent director of other listed companies in the TMT field (Iliad, Assystem, Focus Entertainment, Technicolor). It is also involved in charitable activities which are at the heart of Ipsos’ ESG policy. Since November 2019, she has been President of the Strategic Council of Oui Care and Honorary President of the Oui Care Foundation, which fights against violence against women and promotes gender equality.
Some rejections of resolutions
Furthermore, the Board of Directors takes note of the rejection of resolutions concerning the compensation of some of its executive corporate officers. It will make it a point of particular attention in the next ones, and will examine it, in complete transparency with the shareholders of the company.
Finally, the Board of Directors records the rejection by the majority of shareholders of Resolution A, proposed by 5 minority shareholders for the purpose of electing an additional director in the person of Hubert Mathet.
