Result of the option for the payment of the dividend in shares for the 2021 financial year
Neoen recalls that, during its annual general meeting of May 25, 2022, the shareholders adopted the third resolution relating, in particular, to the payment of a dividend of a gross amount of 0.10 euro per share and the fourth resolution relating to the option for payment of the entire dividend in cash or in shares. Each shareholder could opt for the payment of the dividend in shares, and thus receive, according to his choice, either 100% of the dividend in cash, or 100% of the dividend in new ordinary shares.
The price of the new share issued in payment of the dividend was set at 33.99 euros. This price corresponds
- 90% of the average of the closing prices listed for the twenty trading sessions preceding the date of the general meeting, reduced by the amount of the dividend, rounded to two decimal places after the decimal point to the upper hundredth, in accordance with the provisions of article L. 232-19 of the Commercial Code.
The exercise period for the payment in shares option opened as of June 3, 2022 and ended on June 17, 2022 inclusive.
At the end of this period, nearly 80% of the rights had been exercised in favor of the payment of the dividend in shares.
This operation results in the creation of 252,486 new ordinary shares (representing after the capital increase approximately 0.2% of the capital) whose settlement-delivery and admission to trading on the Euronext Paris market will take place on June 23, 2022. The shares thus issued will carry current dividend rights and will be assimilated to existing shares. The amount of the cash adjustment to be paid to shareholders who have chosen to pay the balance of the dividend in shares is €187.26 and will be paid on June 23, 2022.
At the end of the operation, the share capital will thus consist of 107,358,836 shares representing 107,122,039 votes (based on the number of treasury shares held on the record date of June 2, 2022).
The amount of the cash dividend to be paid to shareholders who have not chosen the option of payment of the balance of the dividend in shares for the 2021 financial year amounts to 2,104,768.90 euros and will be paid on 23 June 2022.
