NETGEM: Monthly information relating to the number of voting rights and shares making up the capital of Netgem April 2023 – 05/12/2023 at 6:55 pm

(pursuant to article 223-16 of the general regulations of the Autorité des Marchés Financiers and article L.233-8 II of the French Commercial Code)

* Total number of voting rights attached to the shares, after deduction of the voting rights attached to the treasury shares, which are deprived of voting rights by virtue of article L.225-210 of the French Commercial Code.

Netgem’s articles of association include under article 9 a clause imposing an obligation to declare the crossing of a threshold in addition to that relating to the legal thresholds:

“Without prejudice to the applicable legal provisions, any shareholder who comes to own a number of shares equal to or greater than 2% of the total number of shares or a multiple of this percentage, is bound within fifteen days from the crossing of each of these participation thresholds, to inform the company of the total number of shares he owns, by registered letter sent, with acknowledgment of receipt, to the registered office.

Failing to have been declared under the above conditions, the shares which constitute the excess of the participation are deprived of voting rights for any meeting of shareholders which would be held until the expiry of a period of two years following the date of regularization of the notification, if the default has been noted and if one or more shareholders holding at least 2% of the capital so request under the conditions provided for by law.

Under the same conditions, the voting rights attached to these shares and which have not been duly declared cannot be exercised or delegated by the defaulting shareholder.
