(CercleFinance.com) – OL Groupe announces the completion of operations with Eagle Football.
Eagle Football, controlled by John Textor, acquired today from the main historical shareholders of OL Groupe 39,201,514 OL Groupe shares at a price of 3E per share and 789,824 OL Groupe OSRANEs at a price of 265.57E per OSRANE.
Eagle Football also subscribed today to a reserved capital increase by OL Groupe for a total amount of 86 million euros.
Consequently, Eagle Football now holds 77.49% of the capital of OL Groupe on a non-diluted basis (78.40% of the capital on a fully diluted basis and, together with Holnest, 86.57% of the capital on a fully diluted basis).
The composition of the Company’s Board of Directors has changed to reflect this change in shareholding.
Eagle Football will file as soon as possible, on behalf of the concert with Holnest, a simplified cash tender offer for the shares and OSRANEs it does not own at a price of 3E per share and 265.57E per OSRANE.
