Orpea announces the results of the latest capital increase


(Boursier.com) — ORPEA announces today the results of its capital increase with maintenance of shareholders’ preferential subscription rights for a gross amount, share premium included, of 390,019,672.62 euros, by issue of 29,324,787,415 new shares at a unit price of 0.0133 euros per New Share, to which the members of the Group had undertaken to subscribe by exercising their preferential subscription rights, to the tune of approximately 195.7 million euros ( each for its amount and without solidarity), the balance, or approximately 194.3 million euros, subject to a guarantee by the members of SteerCo.

RESULTS OF THE CAPITAL INCREASE WITH MAINTAINING THE DPS

At the end of the subscription period which ended on February 2, 2024, the total demand amounted to 21,238,900,371 shares (including 14,715,668,849 New Shares subscribed by members of the Group), i.e. a rate of subscription of 72.43%. The 29,324,787,415 New Shares issued as part of the Capital Increase with Maintenance of DPS were subscribed as follows:
20,557,957,819 New Shares were subscribed on an irreducible basis, representing approximately 70.10% of the shares to be issued including 14,715,668,849 New Shares subscribed by the members of the Group, in accordance with their subscription commitment resulting from the agreement concluded on 14 February 2023, between the Company, the Group and SteerCo.
The reducible request concerned 680,942,552 New Shares.
Consequently, 8,085,887,044 New Shares, corresponding to an amount (issue premium included) of 107.5 million euros, will be subscribed by the members of SteerCo in accordance with their subscription commitment as guarantee.

IMPACT OF THE CAPITAL INCREASE ON THE DISTRIBUTION OF CAPITAL

After completion of the Capital Increase with Maintenance of the DPS, the share capital of the Company will be established at 1,591,917,031.11 euros, divided into 159,191,703,111 shares of 0.01 euro par value each, distributed as follows: next :

Group: 50.18%, including:
Caisse des Dépôts et Consignations: 22.41%,
Mutuelle Assurance des Teachers de France (MAIF): 14.81%,
CNP Assurances: 5.56%,
MACSF Retirement Savings: 7.41%,
Floating: 49.82%.
