Resolution A

VOTE FOR

Not approved by the Board of Directors, this resolution was filed by six minority shareholders representing 0.8% of the capital (Phitrust, Mirova, OFI AM, Erafp, Ircantec and the Pharmacists’ Old Age Insurance Fund). . It is a question of modifying the statutes to allow an honorary president to be invited, on an exceptional and motivated basis, to attend a meeting of the board, for all or part of the agenda. Currently, the former manager, Franck Riboud, is systematically invited to give directors the benefit of his experience. However, he is neither elected by the shareholders nor bound by the same rules of confidentiality as the directors.

Resolution 26

VOTE AGAINST

This is to reduce from 4,000 to 2,000 the minimum number of shares that directors must hold, including 1,000 after three months and the balance of 1,000 shares after two years. This delay, which was not foreseen, does not pose a problem. But the capital involvement of board members should not be reduced.
