Visiodent bows out

(Boursier.com) — Visiodent will exit the stock market. The public buyout offer targeting Visiodent shares, declared compliant by the AMF on January 4, 2022, took place from January 6 to January 19, 2022 (inclusive) at the initiative of the group and Hivista, acting as concert with Mr. Morgan Ohnona. On the occasion of this offer, the co-initiators acquired 76,063 shares representing 1.69% of the capital of Visiodent at a unit price of 3 euros per share. At the close of the public buyout offer, the co-initiators thus held 4,316,247 shares representing 8,410,567 voting rights, ie 96.02% of the capital and 97.91% of the voting rights. The settlement-delivery of the offer will take place according to the schedule communicated by Euronext Paris.

In accordance with the intentions expressed by the co-initiators in the context of the offer, and pursuant to the provisions of Articles 237-1 et seq. of the AMF General Regulations, the co-initiators have informed the AMF of their intention to proceed with the implementation of the squeeze-out. The squeeze-out will be implemented on January 27, 2022, the date on which the shares will be delisted from the regulated market of Euronext Paris. The withdrawal will relate to all the shares not held by the co-initiators, ie 178,754 shares, and will give rise to compensation equal to the offer price, ie 3.00 euros per share, net of costs.
