ABC arbitrage will distribute a final dividend of 0.11 euro per ordinary share for the 2022 financial year


(Boursier.com) — Meeting on Friday June 9, 2023 under the chairmanship of Dominique Ceolin, Chairman and Chief Executive Officer, the combined general meeting of shareholders of ABC arbitrage adopted all the resolutions proposed to it. The documents detailing the votes, resolution by resolution, for the ordinary general meeting and for the extraordinary general meeting have been published on the company’s website (abc-arbitrage.com).

Nomination : Among the resolutions adopted, the shareholders decided to appoint the firm BM&A as co-statutory auditor, to renew the mandate of Dominique CEOLIN as director and to appoint David HOEY as director. The board of directors that followed the general meeting decided to renew the functions of chairman and managing director of Dominique CEOLIN. The Board also acted on the proposal for a new organization presented by David HOEY and Dominique CEOLIN and agreed not to renew the functions of Deputy Chief Executive Officer of David HOEY.
The latter will thus be able to devote himself fully to specific assignments within the group, in particular as a director at ABC arbitrage and in the subsidiaries ABC arbitrage Asset Management Asia and ABC arbitrage Asset Management in addition to his role as a director within of ABCA Funds Ireland Plc. The board would like to thank David HOEY for his constructive involvement in setting up this new organization necessary for the group’s ambitions. After 12 years of presence, the general meeting also recorded the non-renewal of the mandate of Sabine ROUX de BEZIEUX in order to respect the general principles of governance around the rules of independence. The Board of Directors expresses its warm thanks to him for his work during his many years of mandate.

Distributions : Among the resolutions adopted, the Ordinary General Meeting, after approving the corporate and consolidated financial statements, decided to distribute for the 2022 financial year a balance of 0.11 euro per ordinary share. Taking into account the payments of 0.10 euro per share in October and December 2022, to which are added the interim dividend of 0.10 euro per share in April 2023, the distributions relating to the 2022 financial year amount to 0 .41 euros per share.

The board of directors, meeting following the general meeting, decided to pay the dividend entirely in cash, in accordance with what was presented at the general meeting.

The distribution schedule for 0.11 euro per share is as follows: the detachment date for this balance is scheduled for Tuesday July 4, 2023 and the payment date for Thursday July 6, 2023.

As a reminder, ABC arbitrage intends to pay interim dividends of €0.10 per share in October 2023, December 2023 and April 2024. These distributions will have to be confirmed by the various upcoming Board meetings, in compliance legal constraints in force.
