Atos: Activist Sycamore’s resolutions rejected


(CercleFinance.com) – Atos shareholders on Wednesday rejected the resolutions proposed by the Sycomore investment fund, which notably wanted to dismiss the current chairman of the board of directors, Bertrand Meunier.

The resolution relating to the dismissal of Bertrand Meunier, which did not have the support of the management and the board of directors, was rejected by the shareholders with 67.4% of the votes during a general meeting organized yesterday at the group’s head office in Bezons.

Bertrand Meunier, Chairman of the Board of Directors of Atos, welcomed the renewed confidence of shareholders, welcoming the strong support expressed for all the proposals made by the Board.

The appointment as director of Leo Apotheker, the former boss of SAP that Sycomore wanted to place at the head of the board, was rejected by 65.3% of shareholders.

‘Despite the maneuvers of destabilization to which the group has been subjected, particularly in recent weeks, shareholder democracy has been able to express itself fully’, welcomed the technological group.

Sycomore said he believed that Atos was now facing a “major” governance crisis, with three general management teams having succeeded each other in three years and a balance sheet deemed “disastrous from all points of view”.

The Atos stock was up 0.9% on Thursday morning following these announcements, outperforming an SBF 120 index up 0.1%.
