PARIS (Reuters) – The board of directors of Atos has voted unanimously against a proposal to revoke the mandate of director of its chairman Bertrand Meunier, carried by minority shareholders, and which will be submitted to the vote of the shareholders at the general meeting of the group on June 28.
Other resolutions, presented by “three shareholders representing less than 1% of the issued share capital”, relating to the dismissal of two other directors and the appointment of an independent director, will also be on the agenda, said Atos on Wednesday in a press release.
“The Board of Directors (…) voted unanimously against resolutions A, B, C and D and unanimously recommends that shareholders vote against the said resolutions,” Atos said. “The Board also unanimously renewed its support for Bertrand Meunier, its chairman.”
Sycomore Asset Management, a minority shareholder of Atos, has been calling for the resignation of the group’s president for several months. He believes in a letter dated June 1 addressed to Atos and communicated to the press, that Bertrand Meunier has “a significant share of responsibility in the governance crisis” which the group has faced.
Atos announced last year a costly plan to split its activities before probable disposals, as well as the departure of its chief executive, Rodolphe Belmer.
