Eiffage: alignment of governance agreements with MAF2


(CercleFinance.com) – Eiffage indicates that it has decided to align and simplify the governance of its joint subsidiaries with MAF2, governance changes with effect from December 31, 2023 and taking place without capital changes or financial flows.

These operations include the absorption of Eiffarie by Financière Eiffarie, the twinning of Adelac’s shares with those of Financière Eiffarie (with application of the same governance to these two companies), as well as the takeover of Adelac by Eiffage.

Consequently, Adelac – concessionary company for the A41 motorway until 2060, 52% owned by Eiffage – will now be fully consolidated in Eiffage’s accounts (and no longer by equity method).

In 2022, Adelac achieved a turnover of 61 million euros for an EBITDA of 50 million, a current operating profit of 36 million and a net profit of 12 million. As of June 30, 2023, it had a net non-recourse financial debt of 657 million.
