Prologue: ASAMIS launches hostilities!

(Boursier.com) — The ASAMIS, Association of Minority Shareholders of Listed Companies, seems to want to take over the Prologue file!

In a muscular tirade, the association which claims the titles of 80 shareholders of Prologue and 6.8 million shares or 11% of the capital, attacks the management and presents resolutions for the next General Assembly on June 30 . She hopes to mobilize the minority shareholders to whom she is appealing.

First resolution proposed by ASAMIS: the dismissal of CEO Georges Seban, “in view of the excessive weight that weighs on him due to his numerous mandates and also the need to renew the board to ensure the sustainability of the company”, writes ASAMIS, who points to the captain’s age.

The association also opposes the resolution requesting the renewal of its mandate for 6 years reduced to 2 years and the modification of the statutes to push back the age limit of the CEO. ASAMIS also opposes a resolution that would allow the allocation of free shares to managers and corporate officers.

ASAMIS indeed points to the free share allocation policy, at Prologue but also at the M2I subsidiary, a large part being dedicated to the Chairman. The ASAMIS which denounces, according to its terms, a “spoliation of the minority shareholders”, proposes two independent administrators.

Contacted by Boursier.com, Georges Seban, implicated, indicated that he had no particular comments to make and simply recalled that it was during the General Meeting of June 30 that the rest of the operations would be decided.

In the meantime, Prologue shareholders have seen the share price drop to 0.22 Euro, and even 0.184 Euro at the lowest end of 2022, i.e. around 20 ME of capitalization.
