UFF: the AMF considers the offer of Abeille Assurances to be compliant

(Boursier.com) — On November 28, 2022, Abeille Assurances Holding filed a draft simplified tender offer in cash for the shares of Union Financière de France Banque (UFF), at a price of 21 euros per share. UFF filed, on December 26, 2022, a draft response document, including the reasoned opinion of its Board of Directors on the Offer as well as the report of the independent expert.

On January 24, the Autorité des marchés financiers (AMF) issued a positive opinion on the conformity of the offer and issued its visa on the information note and the note in response relating to the offer.

It is recalled that on the date of filing of the offer, Abeille Assurances Holding directly or indirectly held 74.99% of the capital and voting rights of UFF. Following purchases made on the market, and taking into account the liquidity agreements concluded with the holders of unavailable free shares, the total number of shares held or intended to be held by the Offeror currently amounts to 81.37 % of UFF capital.

Abeille Assurances Holding intends to request the implementation of a squeeze-out targeting UFF shares if the number of shares not tendered to the offer does not represent more than 10% of the capital and voting rights of UFF.

This squeeze-out would be subject to compensation equal to the offer price, ie 21 euros per share.
