Europlasma: Exercise of the last equity warrants by the Global Corporate Finance Opportunities fund

(Boursier.com) — Europlasma a specialist in treatment and hazardous waste, material recovery and decarbonization, today issued 419,804 new shares for the benefit of the Global Corporate Finance Opportunities 11 fund, following the exercise by GCFO11 of the all of the share subscription warrants in circulation attached to the bonds convertible into new shares issued under the agreement to issue 10,000 OCABSA warrants concluded on April 16, 2021.

The company recalls that the exercise of the BSAs gave rise to two previous capital increases for a total amount of 1M euros on February 20 and 22, 2023. In this respect, the Company specifies that the last BSAs issued in favor of GCFO11 have thus been exercised, so that no new shares may be issued pursuant to the Contract, the termination of which took effect on October 5th.

Pursuant to the decisions of the Chairman and Chief Executive Officer of February 28, 2023, the Company’s share capital was again increased by an amount of 419,804 euros by issuing 419,804 ordinary shares at a unit price of 1 euro. By exercising 4,198,040,000 BSA, GCFO11 subscribed to these shares and paid them up in full by compensation in proportion to the balance of the certain, liquid and due debt held on the Company. This operation is once again in line with the debt reduction objectives described in the press release of February 20, 2023.
