(Boursier.com) – As part of the proposed public takeover bid announced by Vivendi SE, the Board of Directors of Lagardere, meeting today, appointed an ad hoc committee made up of:
-Madame Véronique Morali, independent member, also appointed Chairman of the ad hoc Committee,
-Madame Valérie Bernis, independent member,
-Mr Nicolas Sarkozy, independent member,
-Mr Pascal Jouen, member representing the employees,
– Mr. Arnaud Lagardère, Chairman and CEO of the company.
– Mr. Pierre Leroy, Censor, will also participate in the meetings of the ad hoc Committee, without voting rights.
The Board of Directors will meet again in the coming days to appoint, on the recommendation of the ad hoc Committee, an independent expert in accordance with the General Regulations of the Autorité des marchés financiers.
The Board of Directors also took note of the resignation of Mr. Joseph Oughourlian from his term of office as a director in connection with the acquisition by Vivendi SE of all of Amber Capital’s stake in the company.
Finally, the Board of Directors appointed Madame Noëlle Genaivre, member representing employees, to its Appointments, Remuneration and CSR Committee.
